Procedure & Conditions Precedent:
1. LOI
2. SCO
3. FCO
4. Draft contract
5. BUYER signs and seals the Draft Contract with his banking details with permission for
soft probe.
6. SELLERS signs and mails Contract back to the Buyer (4 copies)
7. BUYER returns final Hard Copies (2) of the Contract, signed and sealed to the Seller
and Keeps Two copies for himself.
8. With 3 days of sending the signed Contract back to the Seller, Buyer provides to the
Seller’s Bank the availability of the Payment by Swift MT 799 on Bank to Bank basis.
9. Within 3 days of receiving the availability of Payment by Swift MT799 on Bank to
Bank basis of Seller’s Bank, the Seller’s Bank provides POP to the Buyer’s Bank on
Bank to Bank basis.
10. When the Buyer’s Bank receives the acceptable POP from the Seller’s Bank, the
Buyer will issue an Irrevocable, Confirmed, Revolving and transferable Non operative
L/C at sight. In accordance with Contract Number XXXXXX within 3 Bank Working
Days.
11. Seller will give the Buyer a 2% PB. Upon receipt of the PB the Buyers L/C will
become operative/activated and will be payable at sight.
12. Seller loads the goods and present the shipping documents with an SGS report to the
Buyer’s banks
13. Upon presentation of the documents at loading port the Buyer releases the money
for the Seller.
14. Delivery and shipment commence as per Contractual Schedule.
15. Next shipment begins

Once the contract is signed, buyer may do yard visit.
This will be effectively after all the POP and
LCs are in place. The buyer is suggested to have someone there to witness the loading as well.
